Job Description
Commercial and Corporate Legal Affairs:

• Draft, review, and negotiate contracts and documents related to the Company's business activities (services, suppliers, branding/marketing, leasing, vendors, confidentiality, IP, employment).
• Assist the senior legal manager in conducting legal research and drafting legal opinions regarding different legal matters.
• Assess potential legal risks and implications of contracts and bring them to management's attention.
• Legal Advisory: Provide expert legal advice on contractual, commercial, and legislative matters to business units and management.
• Support in-depth legal analysis of company projects and business initiatives to identify potential risks and recommend compliance and mitigation solutions.
• Support research, drafting, and negotiation of legal documents related to Corporate Law, Commercial Law, Compliance, Contracts, Corporate Governance, and International Law.
• Ensure compliance with applicable laws, regulations, and industry standards, such as consumer protection, IP, food control regulations etc. conducting legal research and drafting legal opinions regarding different legal matters

Litigation Management

• External Legal Coordination:
• Delegate and manage litigation cases or investigations with external law firms.
• Provide necessary evidence or documents to support external law firms, collaborating with relevant business units.
• Submit police reports, align and coordinate with government relations department, PA team
• Legal Risk Assessment:
• Provide guidance on potential legal risks associated with lawsuits and/or investigations to management and stakeholders.
• Local Law Firm Relations:
• Cultivate relationships with local law firms for prompt and relevant counsel.
• Seek assistance from local law firms in drafting and revising contracts posing regulatory or compliance risks.

Regulatory Affairs

• Regulatory Analysis:
• Conduct in-depth analysis of decisions, actions, or regulations initiated by local regulatory authorities that may impact the Company.
• Provide recommendations to ensure compliance and risk mitigation.
• Regulatory Response:
• Manage or support in responding to inquiries and/or investigations by local regulatory authorities, liaising with external law firms as needed.
• Represent the company before regulatory authorities when required.
• Regulatory Compliance:
• Evaluate regulatory authorization requirements and create compliance checklists for new products and projects as required.

Qualifications

• Bachelor's degree in law, additional qualifications such as an LLM are advantageous.
• Minimum of 4-5 years of progressive experience in a legal role, preferably within an e-commerce or technology-driven industry or an international law firm.
• In-depth knowledge of Omani laws and regulations for at least 2 years.
• Excellent project and time management, negotiation, and problem-solving skills.

Job purpose

Provides Advise, thoughts & insights on Corporate Legal Matters at OQ Group, under vp of Corporate Legal, acting as Advisor for Legal function related to legal process/ activities, including the policies and procedures relating to legal framework & integrated to the complex end-to-end Business, for both annual cycles and ongoing re-forecasts, by : (1) Provides advice independently, and supervising junior and mid-level lawyers on Corporate finance and project finance documentation, execution process, and compliance and utilization procedures, (2) Provides advised and guidance on Structuring and negotiation of finance documentation, (3) Provides legal advice on Financing condition precedent documentation, (4) Evaluate Legal risk for the OQ Group and related businesses, (5) Ensure OQ Corporate compliance and corporate governance, (5) Guide and direct on Legal and commercial issues, and advice on related regulatory regimes; in order to ensure legal compliance, manage risks, and facilitate successful financial deals and partnerships.

Main tasks and responsibilities

Providing advice and assistance regarding corporate finance and project finance documentation, execution process, compliance, and utilization procedures.

Structuring and negotiation of finance documentation, in particular facility agreements, intercreditor agreements and security documents; coordination execution of documentation; liaising with internal stakeholders to ensure a coordinated approach, early identification of commercial and legal risks, and timely delivery to internal clients.

Managing and coordinating preparation and delivery of financing condition precedent documentation.

Providing general ad hoc support to the finance department treasury function, e.g. drafting of intra-group loan agreements, assistance in respect of bank accounts.

Collaborate with finance, accounting, and business development teams to provide strategic legal advice.

Guidance / Coaching

Mentoring and training junior lawyers, trainees, and non-legal personnel (on legal issues/matters), preparing internal best practice notes, supervision of junior lawyers and trainees.

Organizing various aspects of transactions, including supervising internal teams of junior associates and trainees, and retaining and coordinating outside counsel.

Legal Trends

Provide insights associated with key variance / legal trends arising from reports, forecasts and plans for Oil & Gas industry.

Guide on how strategize Legal Business Unit/ Downstream & Commercial legal process to various stakeholders among the Group.

Education requirements

LLB or equivalent from a reputable university or law school with admission to a recognized civil or common law Bar (or equivalent body), in other words, qualified as a lawyer/solicitor/barrister.

Post-lawyer qualification

Background and experience

Minimum of 10-12 years of post-lawyer qualification experience with a recognized law firm and/or in-house legal function for a recognised corporate entity with a focus in one or more of the following areas: corporate, commercial and/or finance.

Experience in the energy sector and/or project development and/or project finance would be helpful but is not essential.

Experience in developing risk mitigation strategies to protect the company's interests.

Job purpose

Provide expert legal support to OQEP's operational functions under the direction of the General Counsel, ensuring legal integrity and compliance across upstream business activities. This includes: (1) Advising on legal matters related to day-to-day operations, including contracts, regulatory compliance, HSE, supply chain, and technical services. (2) Supporting the review, negotiation, and drafting of operational agreements to protect the company's interests and mitigate legal risk. (3) Ensuring alignment with applicable laws, corporate governance standards, and internal policies across the full spectrum of business operations.
