Job Purpose:
The Legal Advisor ensures legal compliance with the country's laws and regulations and mitigates risks within the Bank. He/ She provides expert legal counsel and guidance to support the bank in various legal matters and facilitates adherence to regulatory frameworks.
Key Accountabilities:
- Provides timely and accurate legal advice and guidance to internal stakeholders, including senior management, business units, and support functions.
- Manages and oversees litigation matters involving the bank, including disputes and claims.
- Provides detailed reports on the status and progress of bank cases, including litigation updates and settlements.
- Drafts, reviews, and negotiates contracts, agreements, and legal documents to protect the bank's interests and ensures compliance with applicable laws.
- Ensures that contractual terms and conditions comply with legal requirements and align with the bank's interests.
- Coordinates with external legal firm and represent the bank's interests in legal proceedings when necessary.
- Ensures compliance with all applicable banking laws, regulations, and guidelines.
- Monitors regulatory developments and assesses its impact on the Bank's operations.
- Identifies legal risks and vulnerabilities within the bank's operations, and implements strategies to minimize and manage potential legal liabilities.
- Reviews internal policies, procedures, and guidelines to ensure legal compliance and operational efficiency.
Qualifications and Experience:
- Bachelor's degree in Law from a recognized institution.
- Minimum of 5 years of relevant legal experience in legal firms or Corporates. Experience in the banking or financial services is desired.
- Strong knowledge of banking and financial regulations, compliance, and legal standards.
- Familiarity with Commercial law, Contracts review, risk management, and dispute resolution.
- Excellent research and analytical skills.

Job Description
Commercial and Corporate Legal Affairs:
- Draft, review, and negotiate contracts and documents related to the Company's business activities (services, suppliers, branding/marketing, leasing, vendors, confidentiality, IP, employment).
- Assist the senior legal manager in conducting legal research and drafting legal opinions regarding different legal matters.
- Assess potential legal risks and implications of contracts and bring them to management's attention.

- External Legal Coordination:

Regulatory Affairs
- Regulatory Analysis:
- Conduct in-depth analysis of decisions, actions, or regulations initiated by local regulatory authorities that may impact the Company.
- Provide recommendations to ensure compliance and risk mitigation.
- Regulatory Response:
- Manage or support in responding to inquiries and/or investigations by local regulatory authorities, liaising with external law firms as needed.
- Represent the company before regulatory authorities when required.
- Regulatory Compliance:
- Evaluate regulatory authorization requirements and create compliance checklists for new products and projects as required.
Qualifications
- Bachelor's degree in law, additional qualifications such as an LLM are advantageous.
- Minimum of 4-5 years of progressive experience in a legal role, preferably within an e-commerce or technology-driven industry or an international law firm.
- In-depth knowledge of Omani laws and regulations for at least 2 years.
- Excellent project and time management, negotiation, and problem-solving skills.

Education requirements
LLB or equivalent from a reputable university or law school with admission to a recognized civil or common law Bar (or equivalent body), in other words, qualified as a lawyer/solicitor/barrister.

Background and experience
Minimum of 10-12 years of post-lawyer qualification experience with a recognized law firm and/or in-house legal function for a recognised corporate entity with a focus in one or more of the following areas: corporate, commercial and/or finance.
Experience in the energy sector and/or project development and/or project finance would be helpful but is not essential.
Experience in developing risk mitigation strategies to protect the company's interests.

Provide expert legal support to OQEP's operational functions under the direction of the General Counsel, ensuring legal integrity and compliance across upstream business activities. This includes: (1) Advising on legal matters related to day-to-day operations, including contracts, regulatory compliance, HSE, supply chain, and technical services. (2) Supporting the review, negotiation, and drafting of operational agreements to protect the company's interests and mitigate legal risk. (3) Ensuring alignment with applicable laws, corporate governance standards, and internal policies across the full spectrum of business operations. (4) Acting as a legal partner to internal stakeholders by delivering timely, practical, and business-focused legal solutions that enable operational continuity and strategic goals.
